These Terms and Conditions (“Terms”) are a legal agreement between you and Iverifai, a Smile Secure company (“Iverifai”, “we”, “us”, “our”). They govern your use of iverifai.ai and the insurance verification services we provide (together, the “Services”).

By accessing or using the Services, you agree to these Terms. If you are using the Services on behalf of a dental practice or other organization, you confirm that you have authority to accept these Terms on its behalf. These Terms do not replace or modify any separate agreement you have signed with us, including a Business Associate Agreement.

1. Eligibility

The use of our Services is restricted to individuals and entities that can legally enter binding agreements. By accessing the Services, you confirm that:

• You are at least 18 years old, or the age of majority in your jurisdiction.
• You have the authority to represent your dental practice if you are using the Services on its behalf.
• Your access to the Services is not prohibited by any applicable laws in your location.

Iverifai reserves the right to deny access to any user or organization that does not meet these eligibility requirements.

2. Registration and Account Security

To access certain features of the Services, you must create an account. By registering, you agree to:

• Provide accurate, complete and up-to-date information during registration.
• Safeguard your login credentials and ensure they are not shared with unauthorized individuals.
• Notify Iverifai immediately if you suspect any unauthorized access or activity on your account.

We are not responsible for losses arising from unauthorized account access resulting from your failure to secure your login credentials. Accounts may be suspended or terminated if fraudulent activity or misuse is detected.

Account usage restrictions

Users must not:

• Register accounts with false or misleading information.
• Attempt to create multiple accounts for the same individual or entity unless explicitly permitted.

Iverifai reserves the right to monitor account activity and take appropriate action, including suspension or termination, to maintain the integrity of the Services.

3. Permitted Use

You are granted a limited, non-exclusive and revocable license to use the Services solely for legitimate and lawful purposes connected with running a dental practice. This includes, but is not limited to:

• Requesting and receiving insurance verifications for your patients.
• Connecting your practice management system so that schedules and completed verifications can pass between it and the Services.
• Reviewing, exporting and using completed benefit summaries in the course of running your practice.

Prohibited activities

Users must refrain from:

• Distributing harmful code or engaging in activities that may disrupt the functionality of the Services.
• Exploiting the Services for unauthorized commercial purposes, including reselling access.
• Misusing patient data in violation of HIPAA or other relevant privacy regulations.

Any breach of these permitted use policies may result in immediate termination of access and potential legal action.

4. Ownership and Intellectual Property

All components of the Iverifai platform, including software, trademarks and proprietary content, are the exclusive property of Iverifai or its licensors. By using our Services, you acknowledge that:

• You do not acquire any ownership rights in the software or content provided.
• Any unauthorized use, reproduction or distribution of our intellectual property is strictly prohibited.

User contributions

Any content uploaded to the platform, such as patient data or operational metrics, remains the property of the user or practice. Iverifai will use such data only as set out in our Privacy Policy.

5. Protected Health Information

Where we handle protected health information on behalf of a dental practice, we do so as a Business Associate under the Health Insurance Portability and Accountability Act (HIPAA). That handling is governed by the Business Associate Agreement signed with the practice. If anything in these Terms conflicts with that Agreement, the Agreement prevails.

6. Privacy Policy

Your use of the Services is subject to our Privacy Policy, which sets out how we collect, store and protect your data. By using the platform, you consent to the collection and processing of your information as described in the Privacy Policy.   [link the words “Privacy Policy” to /privacy-policy/]

7. Disclaimer of Warranties

Iverifai provides its Services “as is” and makes no guarantees regarding:

• The uninterrupted availability of the platform.
• The accuracy or reliability of data generated by the Services.

We disclaim all implied warranties, including those of merchantability and fitness for a particular purpose. Users are encouraged to report any system errors promptly so that we can resolve them.

8. Limitation of Liability

To the extent permitted by law:

• Iverifai will not be liable for any indirect, incidental or consequential damages arising from the use of our Services.
• Our maximum liability for direct damages will not exceed the fees paid for the Services over the past 12 months.

This limitation applies even if we have been advised of the possibility of such damages.

9. User Submissions and Feedback

We value your feedback and contributions. By submitting feedback, suggestions or other content to Iverifai, you:

• Grant us a royalty-free license to use, modify and incorporate your input into our platform and Services.
• Agree that we are under no obligation to acknowledge or compensate you for your submissions.

Iverifai reserves the right to review, edit or remove content uploaded to our Services that violates these Terms.

10. Third-Party Integrations

Iverifai integrates with various third-party tools to enhance functionality. By using these integrations, you acknowledge that:

• Third-party services are subject to their own terms and conditions.
• Iverifai is not responsible for the security, functionality or privacy practices of these third-party providers.

We encourage users to review the terms and policies of any third-party integrations they choose to enable.

11. Updates to Terms

These Terms may be updated periodically to reflect changes in our operations or legal requirements. Users will be notified of significant updates by email or through the platform. Continued use of the Services after an update signifies your acceptance of the revised Terms.

12. Termination

Iverifai reserves the right to terminate access to the platform for users who:

• Violate these Terms.
• Engage in fraudulent or harmful activities.

Termination does not release users from any outstanding financial obligations. Users may also request account termination, which will be processed in accordance with our data retention policies.
